U.S.$225,000,000 Primary Capital Undated Floating Rate Notes

On 18 February 2015 Commerzbank Aktiengesellschaft (the "Commerzbank") acquired
by way of a reverse enquiry transaction U.S.$36,000,000 of the U.S.$225,000,000
Primary Capital Undated Floating Rate Notes (the "Notes") issued by Commerzbank
Holdings (UK) Limited (the "Issuer"). On 24 March 2015 Commerzbank acquired a
further U.S.$5,250,000 of the Notes by way of a second reverse enquiry
transaction. On 28 May 2015 Commerzbank acquired a further U.S.$41,350,000 of
the Notes pursuant to a tender offer. On 30 September 2015 Commerzbank acquired
a further U.S.$45,360,000 of the Notes by way of a third reverse enquiry
transaction. Following the third reverse enquiry transaction, Commerzbank holds
U.S. $127,960,000 of the Notes.
The Issuer wishes to announce that on 20th November 2015 the Issuer entered
into a cancellation agreement (the "Cancellation Agreement") between the
Issuer, Commerzbank and Bank of New York Mellon, acting through its London
Branch as principal paying agent in respect of the Notes (the "Principal Paying
Agent"). Pursuant to the Cancellation Agreement all U.S.$127,960,000 of the
Notes held by Commerzbank were purchased by us, the Issuer, and cancelled in
accordance with their terms on 30th November 2015.
