Issue of Equity

The Directors of Acuity Environmental VCT plc (the "Company") are pleased to announce that with respect to the offer for the 2010/2011 tax year a further allotment of 77,130 ordinary shares of 0.1p each ("Ordinary Shares") and 77,130 A shares of 0.1p each ("A Shares") was made on 25 November 2010, such shares having been issued under offers (the "Offers") made pursuant to a joint prospectus of the Company and Acuity Environmental VCT 2 plc, dated 19 November 2009, to raise up to, in aggregate, GBP20 million (the "Prospectus"). Each Ordinary Share and A Share have together been issued at a price of 100 pence.

In addition to the Ordinary Shares and A Shares allotted and issued pursuant to the Offers as described above, 1,322,749 A Shares were allotted on 25 November 2010 to PDMRs as described in the Prospectus. These allotments are set out below:

In accordance with the Prospectus, as the Companies received less than GBP10 million in aggregate, the Directors of the Company have allocated all further valid applications with respect to the Offers solely to Acuity Environmental VCT plc.

Application will be made shortly for the Ordinary Shares and A Shares allotted on 25 November 2010 to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's market for listed securities, and dealings are expected to commence on or around 3 December 2010.

The Offers closed at 5.00 pm on the 18 November 2010.

Following the allotments referred to above, the issued share capital of the Company consists of 5,345,497 Ordinary Shares and 8,018,246 A Shares. The gross proceeds raised from the Offers were GBP5,215,850.
