ARCO Completes Its Merger With Union Texas Petroleum

ARCO (NYSE: ARC) announced today the completion of the merger  of a subsidiary
of ARCO into Union Texas Petroleum Holdings, Inc.  Pursuant to this merger,
Union Texas is now a wholly owned subsidiary of ARCO, and each remaining
outstanding share of Union Texas common stock not tendered to and purchased by
ARCO pursuant to its tender offer for Union Texas'common stock, which terminated
on June 15, 1998, will be converted into $29 in cash.  Shares of Union Texas
Preferred Stock not purchased by ARCO pursuant to its tender offer for the
Preferred Stock that terminated on June 19, 1998 will remain outstanding after
the merger.
