The Performance Share Plan was approved by shareholders at the annual general 
meeting in April 2002. 
 
The directors are not required to make any payment for the shares, which shall 
vest on the achievement of performance targets.  The performance targets will be 
measured over a three year period which commenced on 1 January 2010.
