                             1998 ANNUAL MEETING

The 1998 Annual Meeting of the company was held at Wellington, New Zealand on
10 November 1998.

The resolutions authorising the Board to fix the fees and expenses of the
auditors and to appoint Mr P H Quek as a director of the Company were both
passed by shareholders on a show of hands.

The resolutions to appoint Ms F H Wilde, Mr P R Dodd and Mr R A Longes as
directors of the company were each voted on by poll and none of these
resolutions were passed.
