                                 Board changes

CEC announces the following board changes have occurred with effect from 27
January 2006:

1.   Gillian Lumsdon has resigned as a non-executive director but will remain as
     group educational advisor.

2.   Laurence Davis has been re-designated from executive deputy chairman to a 
     non-executive director.

3.   Paul Warren Ayres, aged 38, has been appointed as an executive director 
     with a direct responsibility for sales and marketing and investor 
     relations.

Paul has worked in the technology sector for the past eighteen years,
specialising in start-up and turn around operations and has a specific
background in sales and marketing.  His recent experience was with BrightStar
Education Limited, a company providing programmes, tests and training for
dyslexics.

4.   Rakesh Patel intends to resign as finance director with effect from 1

Directorships where companies have gone into receivership / creditors voluntary
arrangements post resignation as director:

Vaco (International) Ltd went into creditors voluntary arrangement in November
2003.

Harland Simon Group plc went into receivership in October 1992.

There are no further disclosures required to be made in respect of Mr. Ayres and
Mr. Macaulay with regard to paragraph (g) of Schedule 2 of the AIM Rules.
