    China Medstar Limited (the "Company")                     

                         Statement re: Possible Offer                          

The Board of the Company (the "Board") today confirms it has entered into
discussions with a third party which may or may not lead to an offer to acquire
the entire issued share capital of the Company at a price of 62 pence in cash
per ordinary share. Discussions are still deemed by the Board to be at an early
stage and therefore there can be no guarantee that any offer may materialise.

This announcement has been released with the permission of the third party.

Shareholders are reminded that the City Code on Takeovers and Mergers ("City
Code"); and the Singapore Code on Takeovers and Mergers (the "Singapore Code")
(collectively the "Takeover Codes") do not apply to the Company as it is
incorporated in the Republic of Singapore and has its operations in China. Any
takeover of the Company therefore will be unregulated by UK takeover
authorities. The Articles of Association do however contain certain takeover
protections which the Board will enforce if any offer is made for the Company.

The Company also confirms it has 27,564,138 ordinary shares in issue and has
outstanding 872,853 options (save for options granted to certain of the
Company's advisors at the time of the IPO) to acquire ordinary shares.
