Share Realisation and Reinvestment Programme ("SRRP") and Top-up Offer Extension 
 
The  Board of Downing Income VCT 3 plc  announces that the closing time and date 
for receipt of applications in respect of the Share Realisation and Reinvestment 
Programme and Top Up Offer (which was previously announced as 3.00pm on 28 March 
2013) has  been extended  to 3.00pm on  Tuesday 2 April  2013.  This is to allow 
time for applications that are in transit to arrive.

allotment  of Shares under the Top-Up offer in respect of tax year 
2012/13                                                             4 April 2013 
 
Allotment  of Substitution Shares and settlement by way of set off 
of  amounts due to  and owed by  a Shareholder under  the SRRP and 
allotment  of Shares under the Top-Up offer in respect of tax year
