EW&PO Finance plc (the "Subsidiary")

Result of Second Subsidiary General Meeting

The Board is pleased to announce that the special resolution to put the Subsidiary into liquidation was approved by the Subsidiary's ordinary shareholders at the Second Subsidiary General Meeting held earlier today.

A copy of the special resolution is available on the National Storage Mechanism at http://www.morningstar.co.uk/uk/NSM.

Accordingly, the Subsidiary will be placed into members' voluntary liquidation and Patrick Brazzill and Richard Barker, both of Ernst & Young LLP of 1 More London, London SE1 2AF, will be appointed as liquidators, with effect from 1 August 2016.

Application has been made to the UK Listing Authority and the London Stock Exchange for the listings and admission to trading of each of the Reclassified ZDP Shares to be cancelled at 8.00 a.m. on 30 August 2016.

Defined terms used in this announcement have the meanings given in the circular published by the Subsidiary on 6 July 2016 unless the context otherwise requires.
