Acquisition of Three Product Licenses from Novartis Pharmaceuticals UK Ltd

Goldshield Group Plc announces the acquisition from Novartis Pharmaceuticals
UK Ltd ("Novartis") of product licences for the UK to 3 products for a cash
consideration of #6.5 million, payable in two instalments, #3.0 million on
completion and #3.5 million on 29th December 2000.

The three products being acquired are Trasidrex, Navispare and Navidrex:
 
Navidrex is a diuretic, Navispare is a combination diuretic and Trasidrex is a
combination diuretic/beta-blocker, all used in the treatment of hypertension
and other cardio-vascular diseases. Sales in the UK for the year to 31
December 1999 (at trade prices), were #2.65 million (source: BPI 12/99).
Profits attributable to the products in the UK for the same period were #0.25
million. These profits were achieved under the charging structure and cost
base of Novartis.

Prior to the completion of the transfer of product licenses, Novartis will
continue to manufacture all three brands and will continue to distribute
Trasidrex and Navispare.
