Transfer of Share Holding

Healthcare Enterprise Group PLC (HCEG), the healthcare products and services
company, announces that it has today been notified by Stuart Bruck (the
Executive Chairman) and Michael Low (the CEO Advisory Services) that they have
together ceased to be interested in 2,100,000 ordinary shares of 0.1p each in
the capital of the company previously held by LPMCC, LLC, ("LPMCC") a company in
respect of which Stuart Bruck and Michael Low are each entitled to exercise or
control the exercise of more than one-third of the voting power at general
meetings.

These shares were transferred by LPMCC to an employee (who is not a member of
the board) of the HCEG Group on 16 December 2004 pursuant to the exercise by the
employee of options granted by LPMCC on 15 January 2003, as described in
paragraph 8.2.2 of Part V of the prospectus issued by HCEG on 20 October 2003.
The exercise price paid for these options was #1,134.00.
