                 HEYWOOD WILLIAMS GROUP PLC ("the Company")


Heywood Williams Group PLC advised that on 6 December 1999:

(i)   Mr R D H Bryce, the Company's Non Executive Chairman, acquired 44,444
      ordinary shares of 25p each in the Company at a price of 225p per share.
      Mr Bryce now holds a total 80,191 ordinary shares;

(ii)  Mr L J Campbell, a director of the Company, acquired 22,000 ordinary      
     shares of 25p each in the Company at a price of 225p per share.
