In view of the delay by Shaker Limited ("Shaker") in completing the offer
document relating to the offer to acquire the share capital of Interoute
Telecommunications plc ("Interoute") announced on 25th September, 1997, ("the
Offer") Shaker has been unable to post the offer document within the time
period permitted under The City Code on Takeovers and Mergers.  With the
consent of the Takeover Panel the time limit has been extended.   However it
is anticipated that the offer document will be posted by Shaker in the near
future.

The irrevocable undertakings to accept the Offer provided by the Directors of
Interoute prior to the announcement of the Offer, contained a provision which
required the offer document to be posted within 28 days of the announcement of
the Offer.  This period expired on 23rd October, 1997 and accordingly the
irrevocable undertakings over 11,901,830 Interoute Shares, representing 35.71
per cent. of the issued share capital of Interoute, have lapsed.

The Directors of Interoute continue to believe that the Offer is in the best
interests of Interoute shareholders and that the terms of the Offer are fair
and reasonable and, accordingly, unanimously recommend Interoute shareholders
to accept the Offer.

Shareholders should be aware that on 22nd October, 1997 Shaker acquired
12,028,000 Interoute Shares (of which 8,446,666 were purchased from certain
shareholders who had previously given irrevocable undertakings to accept the
Offer), resulting in Shaker holding 44.93 per cent. of the issued share
capital of Interoute.  Accordingly, in accordance with Rule 9 of the City
Code, the Offer is now only conditional upon Shaker receiving acceptances in
respect of sufficient Interoute Shares to raise Shaker's holding over 50 per
cent. of the voting rights attributable to the share capital of Interoute and
the Offer not being referred to the Monopolies and Mergers Commission.
