Update on investing strategy

Further to the announcement of 5 January 2015, in which it was announced that trading on AIM for MNC's shares had been temporarily suspended pursuant to AIM Rule 15 (because it had not fulfilled its investing policy within 12 months of becoming an "investing company"), the Company is able to provide more clarity and an update on progress with the implementation of its investing strategy.

The Company's shares will remain suspended from trading on AIM until such time as MNC either makes an acquisition or acquisitions which constitute a reverse takeover under AIM Rule 14 or otherwise implements its investing policy to the satisfaction of the London Stock Exchange. Unless it achieves this within six months (i.e. by 3 July 2015), the Company's shares will be de-listed from trading on AIM.

Since the major restructuring exercise that occurred in June 2014, the Board has been evaluating several opportunities that would meet the above criteria, and it can confirm that it remains committed to fulfilling its investing policy or otherwise makes an acquisition or acquisitions which constitute a reverse takeover under AIM Rule 14. The Board can confirm that it is currently considering a proposal which, if implemented, it believes would meet the required criteria. Agreement has, however, not been reached as yet and there is no guarantee that it will be reached. A further update will be provided as and when appropriate.
