RESULTS OF VOTING AT NIKANOR EGM
Nikanor PLC (LSE: NKR) (the "Company"), is pleased to announce that at an
Extraordinary General Meeting held today, each of the three resolutions relating
to the Company's proposed merger with Katanga Mining Limited ("Katanga"),
announced on 6 November 2007, was passed by the required majority. At least
99.96 per cent. of the 174 million shares voted by proxy were in favour of the
proposed resolutions.
The resolutions were as follows:
1. Ordinary resolution to increase the Company's share capital, authorise the
directors to allot the entire authorised but unissued share capital of the
Company, capitalise the Company's share premium account by a bonus issue of
shares and consolidate the Company's share capital. (Proxies in favour
99.96%)
2. Special resolution to amend the articles of association of the Company to
permit the issue of shares in fractional denominations. (Proxies in favour
100%)
3. Special resolution (conditional upon the recommended offer for the Company by
Katanga becoming or being declared unconditional in all other respects) to
conditionally re-register the Company as a company incorporated under the
Isle of Man Companies Act 2006 and to adopt a new memorandum of association
and articles of association. (Proxies in favour 100%)
The shareholders of Katanga will be voting on the proposed merger at the general
meeting of that company to be held on 11 January 2008.
