             Ocean Resources Capital Holdings Plc ("Ocean" or the "Company")

                            Proposed Winding up of the Company



The board of directors of Ocean (the "Board") announce that, in line with
previously published intentions, they intend to commence the process of winding
up the Company.

Shareholders will be aware that at the Company's Extraordinary General Meeting
on 31 October 2005, the Company's Articles of Association were amended to
provide that the Directors shall propose a resolution to wind up the Company
(and if such resolution is passed, to petition the Court to wind up the Company)
at the annual general meeting of the Company held to approve the accounts for
the year ending 31 December 2006.

Following advice, the Board believe that the most efficient and cost effective
method to wind up the Company is instead to place it into members' voluntary
liquidation (the "Members' Voluntary Liquidation").

Should the Members' Voluntary Liquidation proceed, the Company would no longer
be an operating entity and in these circumstances the Board feels that it would
be inappropriate to retain its quotation on the AIM Market of the London Stock
Exchange ("AIM").

A circular (the "Circular") has been sent to shareholders today which explains
the process required to achieve the Members' Voluntary Liquidation and includes
formal notice of an Annual General Meeting to be held at 11.00 a.m. on 6
September 2007 (the "AGM") and formal notice of an Extraordinary General Meeting
to be held immediately following the AGM (the "EGM") (together the "Meetings").

The Circular includes a proposal that the Company cancels the admission of its
securities to trading on AIM (the "AIM Quote Cancellation"). The Company has
informed the London Stock Exchange of its intention to cancel its AIM quotation.
The preferred date of cancellation is Friday 14 September 2007 and it will not
be possible to effect transactions in the AIM securities once Admission has been
cancelled.
