OLD MUTUAL SOUTH AFRICA TRUST PLC (the "Company")





Termination of Investment Management Agreement

The Board and advisers of the Company hereby confirm that notice of termination
has been given to Old Mutual Asset Managers (Bermuda) (the "Investment Manager")
on 6 December 2006 following the defeat of the resolution for the Company to
continue as an investment trust at the Company's Annual General Meeting.

The notice of termination is effective as of 6 December 2006 and the termination
is to take effect on 13 February 2007. Notwithstanding that the actual notice
period is less than three months in duration, the termination fee shall be
calculated on the basis of three months from 6 December 2006, hence covering the
portfolio's investment management requirements for the period of the liquidation
transaction.

The termination fee payable to the Investment Manager shall be paid by the
liquidators of the Company as soon as reasonably practicable after the Company
is placed in liquidation and will constitute full and final settlement of all
amounts due and owing to the Investment Manager by the Company.
