Director/PDMR Shareholding

Promethean World Plc (LSE: PRW) has been notified of the following transfers of ordinary shares of 10p each in the Company.

On 27 March 2013, the below mentioned Trusts (each being a connected persons of Tony Cann) acquired in aggregate 1,582,070 ordinary shares from Alexandra Charlier (the wife of Jean-Yves Charlier, the former CEO of Promethean) at a price of 5.25p per share, pursuant to a call option granted by Alexandra Charlier in a conditional sale agreement dated 27(th) December 2009 as follows:

   SJ Cann Discretionary Trust                    - 527,356 ordinary shares 
   RJ Cann Discretionary Trust                    - 527,356 ordinary shares 
   JR Cann Discretionary Trust                    - 527,358 ordinary shares.

The trigger for the exercise of the call option by the Cann Trusts was Jean-Yves Charlier ceasing to be an employee of the Company. The call option gave the Cann Trusts the right to acquire any unvested shares transferred to Alexandria Charlier pursuant to the terms of the Charlier Conditional Share Award at a set price of 5.25p per share.

Following the above transfers, the number of ordinary shares in which Tony Cann and his connected persons are beneficially interested comprises 67,240,572 ordinary shares, or 33.62% of the Company's total issued ordinary share capital.

It has been confirmed that the above transactions do not have any consequences under the City Code on Takeovers and Mergers.
