in Dark Capital (Pty) Ltd ("Dark Capital")

Total consideration: R41 250 000 
Extent of Directors` interest: INDIRECT non-beneficial 
 
Dark Capital, Petmin's BEE partner, continually manages its portfolio and its 
financing activities to enable 
it to participate in an optimal manner in its various projects. Dark Capital, of 
which Mr. Martin is a director, 
together with its associated companies, intends to continue being one of 
Petmin's major shareholders 
and an anchor BEE consortium member. Dark Capital actively consults Petmin in 
all matters that affect its 
shareholding in Petmin. 
 
Subsequent to this transaction Petmin's BEE shareholding will still be in excess 
of 26% as required by the 
Mining Charter. Petmin continues to seek ways in which to increase its BEE 
shareholding in accordance 
with the spirit of the Mining Charter. 
 
Clearance has been received in terms of rule 3.66 of the JSE`s Listings 
Requirements in respect of the 
above transaction.
