                Result of Extraordinary General Meeting ("EGM")                

Retec Digital PLC, the multi-channel marketing services company, is pleased to
announce that all resolutions were duly passed by shareholders at the EGM held
today at 11.00 a.m.

It is expected that admission for the 28,226,000 new ordinary shares relating
to the placing and subscription of new ordinary shares announced on 18 April
2008 and the further subscription of 1,440,000 ordinary shares announced on 8
May 2008 will take place and dealings will commence on Tuesday, 13 May 2008.

Following the admission of the 29,666,000 new ordinary shares the Company will
have a total of 155,500,141 ordinary shares in issue.

Following admission, the Directors will have the following interests in
ordinary shares of the Company:
