Circular and Notice of General Meeting

TP5 VCT plc, announces that it has posted a circular to shareholders containing a Notice of General Meeting, to be held at 4-5 Grosvenor Place, London SW1X 7HJ at 2 p.m. on 29 April 2014, at which the Resolution described below, will be proposed.

Special Resolution

That, subject to the sanction of the High Court, the amount standing to the credit of the Company's share premium account at the date that the court order granting the cancellation is made, be cancelled.

Recommendation

The Directors unanimously consider the proposal to be in the best interests of the Company and its shareholders as a whole and accordingly unanimously recommend shareholders to vote in favour of the Resolution to be proposed at the General Meeting.
