Watts Blake Bearne & Company PLC ("the Company")

Following the grant of probate for Mrs M. Pike (holding 345,000 shares) the
executors have transferred these shares to members of the family and various
trusts. As a result of these transfers, Mr. J.D. Pike, a Non- Executive
Director of the Company's Non Beneficial holding has increased by 115,000
shares (115,000 shares for the Woodlands Trust - Mr. J.D. Pike is a Trustee).
In addition, Mr. J.D. Pike was appointed a trustee of the Howard and Cresswell
Trusts increasing his Non Beneficial holding by a further 7,847 shares, total
Non Beneficial holding 346,355 shares (1.65% of the Company's issued share
capital). On the 14th March, 1998, Mr C.D. Pike transferred to Mr. and Mrs.
J.D. Pike, 80,000 shares on trust for their son (a minor) increasing their
Beneficial interested to 451,392 shares (2.14%) of the Company's issued share
capital).
