                            Directors' Shareholdings

It was announced yesterday that certain companies of which Vincent Isaacs and
Andrew Stimpson are shareholders and Peter Revell-Smith and Lionel Ross
Non-Executive Directors, have agreed to subscribe for new ordinary shares at a
price of 50 pence per share, as part of a placing of ordinary shares undertaken
by the Company.



As a result of these dealings, Vincent Isaacs, Andrew Stimpson, Peter
Revell-Smith and Lionel Ross have the following interests in the ordinary share
capital of the Company:
