filing of a lawsuit, under the federal securities laws and the
Delaware General Corporation Law, in the United States District
Court for the Southern District of New
York (1:16-CV-00015-ER) on January 5,
2016 against the board of directors of Breeze-Eastern
Corporation ("Breeze-Eastern" or the "Company") (NYSE: BZC)
concerning the acquisition of the Company by TransDigm Group
Incorporated ("TransDigm").
Under the terms of the offer, TransDigm acquired Breeze-Eastern
in a transaction valued at approximately $206 million. Pursuant to the deal,
Breeze-Eastern stockholders received $19.61 per share in cash. The offer price
was based on materially misleading disclosures to the Company's
stockholders.
