Item 8.01 Other Events.

As previously reported on October 29, 2010, Arcadia Resources, Inc. (“Company”), priced an offering of up to 15,625,000 shares of common stock of the Company (“Shares”) at an aggregate principal amount $5 million, or $0.32 per Share (the “Offering”). On November 4, 2010, Company closed the Offering.

On November 4, 2010, the Company issued a press release announcing the closing of the Offering. A copy of the press release is attached hereto as Exhibit 99.1.
