notification from the Federal Trade Commission of early termination
of the waiting period under the Hart-Scott-Rodino Antitrust
Improvements Act of 1976, as amended, with respect to the Company's
proposed merger with U.S. TelePacific Holdings Corp. The closing of
the merger transaction remains subject to other conditions,
including the approval of the Company's stockholders and receipt of
applicable approvals from the Federal Communications Commission and
certain state public utility commissions that regulate the
