The securities to be registered hereunder are common shares of beneficial interest, $0.01 par value per share (the "Shares"), of FT Cboe Vest U.S. Equity Buffer ETF - May and FT Cboe Vest U.S. Equity Deep Buffer ETF - May, (the "Funds"), each a series of First Trust Exchange-Traded Fund VIII (the "Registrant"). An application for listing of the Shares of the Funds has been filed with and approved by Cboe BZX Exchange, Inc.
