               Celltalk Group plc ("Celltalk" or the "Company")                

                           Directors' Shareholdings                            

The Company has received notification today that HACAS Group Ltd ("HACAS") of
which Derek Joseph is an executive director, and who is non executive chairman
of Celltalk Group plc, has today sold HACAS' total holding in Celltalk which
amounts to 200,000 ordinary shares, at a price of 13 pence per share.

At the same time Mr Joseph has purchased 100,000 ordinary shares at 13 pence
per share and Mr J Richard Wollenberg, a non executive director of Celltalk,
has also purchased 100,000 ordinary shares at 13 pence per share.

Following these transactions, Mr Joseph now beneficially holds 200,000 ordinary
shares, representing approximately 0.82 per cent. of the Company's current
issued share capital and Mr Wollenberg now beneficially holds 652,500 ordinary
shares, representing approximately 2.68 per cent. of the Company's current
issued share capital.
