           Grant of awards under the Company's Performance Share Plan

PRI announces that pursuant to arrangements already approved prior to the
announcement on 26 March 2003 by Brit Insurance Holdings plc that it may make an
offer for the entire issued share capital of the Company, awards entitling the
holders to conditionally receive up to 1,755,000 ordinary shares in the Company
were granted on 2 April 2003 to certain of the Company's senior employees (not
including any Directors of the Company) under the terms of the Company's
Performance Share Plan ("the PSP"), full details of such plan being set out in
the Company's Admission Document dated 19 June 2002 ("the Admission Document").

PRI further announces that awards entitling holders to conditionally receive up
to 2,145,000 ordinary shares in the Company were granted pursuant to the terms
of the PSP to certain of the Company's Directors and other senior employees on 6
August 2002, as envisaged by the Admission Document. As a result, certain of the
Company's Directors and senior employees became interested in the following
ordinary shares in the Company by virtue of grants of awards under the PSP:

Such interests in shares under the PSP referred to in this announcement are
conditional and vest upon fulfilment of certain performance criteria over the
performance period covering the years from 1 January 2003 to 31 December 2005
(as more particularly described in the Admission Document) or in the event of a
change of control of the Company (in which case the performance criteria do not
apply and such shares become fully vested).
