Results of Operations and Financial Condition.
 
On November 18, 2010, The Dress Barn, Inc. (the “Company”) issued a press release disclosing material non-public information regarding its results of operations for its fiscal first quarter ended October 30, 2010. The Company also reaffirms its earnings per share guidance for its full fiscal year ending July 30, 2011.  A copy of this press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 2.02.
