On June 13, 2012, Encore Bancshares, Inc. issued a press release announcing that a closing date of July 2, 2012 has been set for the acquisition of Encore Bancshares, Inc. through the merger of Encore with and into a wholly-owned subsidiary of Cadence Bancorp, LLC. A copy of the press release is attached hereto as Exhibit 99.1, and is incorporated by reference herein.
