7.01 Regulation FD Disclosure.
On
August 9, 2021, Arbe Robotics Ltd., an Israeli company (“Arbe”), issued a press release (the “Press Release”)
announcing that its Chief Executive Officer, Kobi Marenko, will present at the 2021 J.P. Morgan Automotive Conference on August 11, 2021
at 8:55 a.m. EST.
As
previously announced, Arbe and Industrial Tech Acquisitions, Inc. (the “Company”) entered into a business combination agreement,
dated as of March 18, 2021 (as amended, the “Business Combination Agreement”), pursuant to which, upon the terms and subject
to the conditions set forth therein, among other things, a newly formed corporation that is a wholly owned subsidiary of Arbe will merge
with and into the Company, with the Company surviving as a wholly owned subsidiary of Arbe. The transactions contemplated by the Business
Combination Agreement are subject to customary closing conditions, including the approval of the Company’s stockholders and the
listing of Arbe’s ordinary shares on The Nasdaq Stock Market. Arbe has filed with the SEC a registration statement on Form F-4
(the “Registration Statement”) with respect to the Business Combination Agreement.
A
