Registrant is unable to timely file its annual report on Form 10-K for the year
ended December 31, 2008, without unreasonable effort or expense due to
unexpected delays in completing certain procedures and documentation that are
necessary to include proper disclosures. The Registrant expects that
it will be able to complete the remaining work in time to file its annual report
on Form 10-K for the year ended December 31, 2008, on or before April 15, 2009,
the fifteenth calendar day following the prescribed due date, as permitted under
Rule 12b-25 of the Securities Exchange Act of 1934, as amended.

Attachment
The
Registrant anticipates reporting a loss from continuing operations of
approximately $8.1 million for the year ended December 31, 2008, as compared to
a loss from continuing operations of $3.7 million for the year ended December
31, 2007. The loss from continuing operations for the year ended
December 31, 2008, includes impairment charges totaling $1.1 million related to
long-lived assets and a goodwill impairment charge of $3.4 million.
