On November 8, 2011, the companies announced the definitive merger agreement under which McCormick & Schmick would be acquired by Landry's, in a transaction valued at approximately $132 million. Under the terms of the agreement, McCormick & Schmick stockholders will receive $8.75 in cash for each share of McCormick & Schmick/MSSR common stock held. Earlier this year, McCormick & Schmick adopted a "poison pill" measure to block a hostile takeover after rejecting a $9.25 share offer from Landry’s.
