ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

On December 7, 2023, Ralph C. Derrickson, a member of the Board of Directors of Perficient, Inc. (the “Company”), tendered his resignation to the Board of Directors as required by the Mandatory Director Resignation provision included within the Company’s Corporate Code of Business Conduct and Ethics as a result of a “Status Change” impacting Mr. Derrickson due to the acquisition of Bsquare Corporation by a subsidiary of Kontron AG. On December 15, 2023, the Board accepted Mr. Derrickson’s resignation effective December 31, 2023.

Mr. Derrickson has served on the Board of Directors since July 2004. The Company is grateful for Mr. Derrickson’s diligent long-standing service and valuable contributions to the Company during his tenure as a director.
