Explanation of Responses:
( 1)  These shares were acquired pursuant to a restricted share unit award under the Fleetmatics Amended and Restated 2011 Stock Option and Incentive Plan. Each restricted share unit represents a contingent right to receive one ordinary share of Fleetmatics Group PLC. These restricted share units will vest with respect to 25% of the shares subject to the award on March 11, 2017, and the remainder to vest in 12 equal quarterly installments thereafter.
