Today, I’m happy to share a high-level look at a few of the activities underway to establish our independent gaming and lottery enterprises. To start, however, I want to call your attention to a glossary we’ve established to explain some of the most common terms used when discussing our transaction. Familiarizing yourself with these terms — such as RemainCo, SpinCo and CombineCo — will be helpful to understanding the process of standing up our new companies. Over the last several weeks, Marketing, Communications and Sustainability has led a multipronged process to lay the foundation for the new lottery brand. The goal is to create a distinct and memorable identity that separates us from our competitors while speaking to our employees, existing and prospective customers, and investors. Working with our external brand team, we’ve interviewed more than 100 leaders around the world representing various organizations and various levels of the Company. We are excited to share more later this year. Meanwhile, work is moving forward to prepare for the separation of our business units. As a reminder, we are working toward closing our transaction in late 2024 or early 2025. Efforts to stand up our independent companies fall into two areas — separation planning and integration planning.


 
Separation activities, driven by IGT, are aimed at decoupling the shared services that support each of our business areas along with the numerous processes and systems that connect our operations today. Separation touches everything from real estate and contracts to operations, including supply chain logistics. Information technology is a great example. Applications, software, and SharePoint content are some of the many considerations to weigh when preparing to move from a shared environment to separate environments that reflect the needs of our future-state organizations. These independent environments will be foundational to the ability of our lottery organization to exist on its own, and in preparing SpinCo to merge with Everi. Integration activities support the consolidation of two companies into a single entity. Work in this area centers on identifying potential differences in everything from methods of manufacturing to procurement processes. These activities also support important work to establish a preliminary organizational structure, or model, aimed at making CombineCo more competitive in every segment of the combined company’s portfolio. Recently, leaders from IGT and Everi representing IT, P&T, marketing, accounting, treasury and a variety of business areas, among other teams, met in Las Vegas to start identifying the manner in which each function operates. These conversations, which are ongoing, help us understand the resources of each company, including talent and systems, and how the future IGT can leverage the best of both worlds. KPMG and Bain, third-party advisory services firms, are assisting with integration planning, while Bain is also supporting an organizational analysis of RemainCo to ensure the organization is positioned for success post-separation. As with our gaming enterprise, this work is focused on establishing a model that best positions our lottery company to be competitive across products and services. It's important to note that the roles of these firms are complementary to the leadership of internal steering committees — one for RemainCo and one for SpinCo — which have key roles in defining structures for our future-state lottery and gaming enterprises. These committees are made up of senior leaders in a variety of our business areas. Across all facets of planning, it’s important to remain focused on the needs and expectations of stakeholders and governing authorities. For example, we cannot execute integration activities before all approvals have been granted and the transaction closes. Meanwhile, on the lottery side, we have to remember that separation activities are just as important as focusing on our existing customers and several important bids happening this year. This work has yearslong implications for Global Lottery. Culture is another important consideration in both integration and separation. Global Lottery will have a different brand identity than it does today. In separating our organizations, it’s vital we seize upon the aspects of our existing lottery operations that drive our success and foster working environments while being aspirational in what Global Lottery can become as a pureplay enterprise. With integration, it’s important that we take the best parts of Global Gaming, PlayDigital and Everi to create a culture befitting our combined organization. Outcomes of separation and integration planning activities will be shared with employees in the months to come, as appropriate.
