Explanatory Note
 
This Current Report on Form 8-K/A is being filed to update the Current Report on Form 8-K filed by Natural Grocers by Vitamin Cottage, Inc. (the “Company”) on March 12, 2024 (the “Original Form 8-K”) with the U.S. Securities and Exchange Commission to report the final voting results of the Company’s 2024 Annual Meeting of Stockholders held on March 6, 2024 (the “2024 Annual Meeting”). The sole purpose of this amendment is to disclose under Item 5.07(d) the Company's decision regarding the frequency of future stockholder advisory votes on the compensation paid to the Company’s named executive officers. Except as set forth herein, no modifications have been made to information contained in the Original Form 8-K.
 
Item 5.07
Submission of Matters to a Vote of Security Holders.
 
At the 2024 Annual Meeting, a non-binding advisory vote was conducted on the frequency of future stockholder advisory votes regarding the compensation paid to our named executive officers. As previously reported by the Company in the Original Form 8-K, the stockholders cast the highest number of votes for an advisory vote to be held every three years on the compensation paid to the Company’s named executive officers.
 
In light of the stockholder vote at the 2024 Annual Meeting, the Board of Directors of the Company has determined that the Company will hold an advisory vote on the compensation paid to the Company’s named executive officers every three years until the next vote on the frequency of future stockholder advisory votes on executive compensation. The next vote on the frequency of future stockholder advisory votes on executive compensation will occur no later than the Company’s Annual Meeting of Stockholders to be held in 2030.
