Item 2.06.    Material Impairment.

Sunlight Financial Holdings Inc. (the “Company” or “Sunlight”) records financing receivables for advances that Sunlight remits to contractors to facilitate the installation of residential solar systems to provide such contractors with up-front working capital to pay for certain expenses in connection with the installation or the construction of solar systems and home improvements. In September 2022, the Company was informed of certain actions taken by one of its installer partners to address liquidity issues faced by the installer. As a result of this information and the Company’s analysis that these actions would likely result in an inability of the Company to collect on advances outstanding to such installer, the Company determined on September 23, 2022 that it was appropriate to impair its advance receivables. The Audit Committee of the Board of Directors of the Company reviewed the Company’s determination and the Company concluded to take a non-cash advance receivables impairment charge of $30 million to $33 million during the Company’s fiscal quarter ending September 30, 2022. Although the Company does not anticipate that the impairment charges will result in future cash expenditures as the impairment is a non-cash charge, the Company expects to incur certain non-recurring expenses in connection with its facilitation of solar loans where installation may not have not been fully completed.

On September 28, 2022, the Company issued a press release announcing that it (1) has concluded that material impairment charges are required under generally accepted accounting principles and (2) is withdrawing its fiscal year 2022 earnings guidance most recently provided on August 15, 2022.
