Strike Agreement:
TSX Venture Exchange has accepted for filing a Purchase and Sale
Agreement dated May 21, 2008 between EOG Resources Inc. and the Company.
The Company has acquired the rights to 3,800 gross (3.000 net) acres
including 11 producing wells in the Green River Basin located in Wyoming,
USA (the 'Strike Project'). In consideration the Company will pay
US$8,000,000.
Giant Agreement:
TSX Venture Exchange has accepted for filing an agreement dated May 30,
2008 between Giant Energy Limited ('Giant'), Giant Energy (USA) Inc. and
the Company. In consideration for assigning the Strike Project Purchase
and Sale Agreement to the Company, the Company has agreed to issue to
Giant 100,000 at a deemed price of $2.50 per share. The Company will also
issue 1,000,000 Value Security Escrow shares to Giant. The release of
these escrowed shares will be further conditional upon the Company
producing 1 million cubic feet equivalent per day on a one month average
basis from the Strike Project area.
The Company has also agreed to assign Giant Energy (USA) Inc. an Over
Riding Royalty Interest for the Strike Project equal to the difference
between existing lease burdens and 20%, but never less than 2%.
Insider / Pro Group Participation:
Giant Energy Limited is a related party because two directors of Giant
(John Hislop and Bradley Windt) are also directors of the Company.
Shareholder Approval:
The Company has provided consent resolution evidencing shareholder
approval of the transactions by a majority of disinterested shareholders
of the Company.
