Birch Lake Capital Inc. (TSX VENTURE:BLA) ("Birch Lake" or the "Corporation) is
pleased to announce that further to the Corporation's press release dated July
27, 2010, the Corporation has closed, effective July 29, 2010, the acquisition
of Canadian Rigger Energy Inc. ("Canadian Rigger") by way of a "three-cornered
amalgamation" (the "Acquisition") as the Corporation's Qualifying Transaction
pursuant to the policies of the TSX Venture Exchange Inc. (the "Exchange").


Pursuant to the terms of the Acquisition, 0885186 BC Ltd. ("Subco"), a wholly
owned subsidiary of the Corporation, amalgamated with Canadian Rigger to form a
new amalgamated entity named "Canadian Rigger Energy Inc." ("Amalco") and the
holders of common shares of Canadian Rigger collectively received 12,192,525
common shares of the Corporation ("Birch Lake Shares") and 496,200 share
purchase warrants exercisable into Birch Lake Shares. Upon completion of the
Acquisition, Amalco became a wholly-owned subsidiary of the Corporation. The
Acquisition has been approved by the Exchange as the Qualifying Transaction as
such term is defined in the policies of the Exchange. 


Outstanding Share Capital 

Upon completion of the Acquisition there are approximately 18,957,525 Birch Lake
Shares and options and warrants to acquire an additional 1,756,200 Birch Lake
Shares issued and outstanding in the capital of the Corporation.


Trading 

The Exchange issued its final bulletin with respect to the Acquisition on July
30, 2010 and the Common Shares resumed trading on the Exchange on August 4, 2010
under the symbol "BLA".
