Mezzanine Group plc ("the Company"), the owner and operator of Smollensky's
restaurants, today announces the resignation of Kerpal Bains as a Director with
immediate effect.  Mr. Bains has resigned as a result of the Company's strategic
review which involved the disposal of non-core assets to reduce indebtedness and
to fund the expansion of Smollensky's.  Since that disposal plan is now well
advanced, Mr. Bains role as the Director responsible for nightclubs has ceased
to be required.

The Board would like to thank Kerpal for his work during the time the Company
was involved in operating a number of nightclubs and bars and wish him well for
the future.

Considering the current disposal programme the Board has no immediate plans to
replace him.
