PART III — NARRATIVE

 

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

In addition to the difficulties, and hence, delays in completing the required audit to be conducted due to the outbreak of the novel coronavirus (commonly known as “COVID-19”) in China, the compilation, dissemination and review of the information required to be presented in the Form 10-K for the year ended December 31, 2019, has imposed time constraints that have rendered timely filing of the Form 10-K impracticable without undue hardship and expense to the Registrant. As a result, the Registrant is still in the process of compiling required information to complete the Form 10-K and its independent registered public accounting firm requires additional time to complete its review of the financial statements for the year ended December 31, 2019. The Registrant anticipates that it will file the Form 10-K no later than the fifteenth calendar day following the prescribed filing date.
