BKF Capital Group, Inc. (the
"Company") is not able to file its annual report on Form 10-K for the year ended December 31, 2012 within in
prescribed time period because the Company was unable, without unreasonable effort and expense, to obtain and analyze the
information necessary to complete the preparation of the Form 10-K for the year ended December 31, 2012. The Company expects
to file its Form 10-K within the grace period provided by Exchange Act Rule 12b-25.
