Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On May 24, 2022, the Registrant, amended its articles of incorporation to increase the number of its authorized shares from 3 billion to 4 billion shares, par value $0.001 per share.

 

Item 5.07 Submission of Matters to a Vote of Security Holders.

 

On May 24, 2022, the board of directors, and a majority of the shareholders eligible to vote acted by written consent, to approve and direct the Company to amend its articles of incorporation to increase its authorized shares from one billion to two billion shares.
