SECTION 1 - REGISTRANT'S BUSINESS AND OPERATIONS

ITEM 1.02. TERMINATION OF A MATERIAL DEFINITIVE AGREEMENT

On October 15, 2014, Freedom Petroleum, Inc. (the "Company") filed a Current Report on Form 8-K to disclose its entry into a Purchase and Sale Agreement with Shalex Corporation ("Shalex") (the "Agreement"). Since entering into the Agreement, the oil market has declined. Reviewing the markets with investor appetite and management's duties to its shareholders, the Company determined that it is not the best time to move ahead with the type of oil exploration venture contemplated by the Agreement. Accordingly, on April 28, 2015, Shalex and the Company signed a letter agreeing to mutually terminate the Agreement. A copy of the letter agreement is attached as exhibit 10.1 to this Report. Following termination, the parties will not have any further liability to each other.
