SEC Charges CEO and Paid Promoter With Fraudulently Promoting Stock of Las Vegas Health Products Company

Washington D.C., Sept. 6, 2016 โ€” The Securities and Exchange Commission today charged the CEO of a sexual health products retailer and a paid promoter with orchestrating fraudulent promotional campaigns to tout the companyโ€™s stock.

The SEC alleges that Scott S. Fraser, who also was a major shareholder in Las Vegas-based Empowered Products Inc., separately ran a newsletter publishing business and hired Nathan Yeung to secretly help him promote Empowered Products through online newsletter articles purportedly authored by independent writers. But Fraser and Yeung actually authored, authorized, and distributed the rosy articles about Empowered Products themselves, working under such pseudonyms as โ€œCharlie Buckโ€ and then hiring other promoters to disseminate the promotions to their respective subscriber lists in exchange for fees. Meanwhile the promotions failed to disclose that Empowered Products and Fraser approved and paid for the advertisements.

โ€œWhen promoters fail to disclose their relationship with a company theyโ€™re touting, they give investors a false impression that an investment recommendation is objective,โ€ said Andrew M. Calamari, Director of the SECโ€™s New York Regional Office. โ€œWe allege that Fraser and Yeung deliberately touted Empowered Products without disclosing the companyโ€™s involvement with the promotions.โ€

The SECโ€™s complaint charges Fraser, his newsletter company Contrarian Press, and Yeung with violations of Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 as well as Section 17(b) of the Securities Act of 1933. The complaint further charges Fraser with aiding and abetting violations by Contrarian Press, and seeks to hold him liable as a control person of the company. The complaint also charges Yeung with aiding and abetting violations by Fraser and Contrarian Press.

The SECโ€™s investigation was conducted by Tejal Shah, Alexander Janghorbani, Douglas Smith, and Sandeep Satwalekar of the New York office and Joseph Darragh of the Microcap Fraud Task Force. The case is being supervised by Lara Shalov Mehraban. The litigation will be led by Mr. Janghorbani and Ms. Shah.

i just received a CEO Root- Level Report 1 of 10 from Scott Fraser today.i would like to know if anyone else has received one.i've been setting at a loss with this stock for over a year now.and now i get something from the CEO!i suppose there is some potential here but i'm not sure if this is a pump and dump or what.i've been burned quite a bit from stocks that look real good in the beginning and then start deluteing and R/Sing all the way down to .0001.any input would be appreciated. thanks...

I like the fact that they are starting some new marketing strategies, and although the direct marketing may be expensive, if its' targeted properly, it should work out well.

Looks like 2014 - 2015 may prove to be a good place to be in this issue.

Income Statement Analysis & Financial Review

Revenues for the six months ended June 30, 2012 were $1.5 million vs. $1.41 million in the prior year, growing 6% year over year. Gross margin widened 32%, on higher revenues. Selling, general & administrative expenses rose 32%, and operating loss was $0.24 million vs. a loss of $0.22 million for last year. For the first two quarters of the fiscal year, net loss was $0.25 million (nil per share) vs. a loss of $0.23 million (nil per share) in 2011.

In the second quarter, revenues were $0.69 million vs. $0.66 million in the prior year, gaining 4% year to year. Gross margin narrowed 21%, despite higher revenues. Selling, general & administrative expenses grew 19%, and operating loss for the quarter was $0.26 million vs. a loss of $0.11 million in the prior-year period. Net loss was $0.26 million (nil per share) vs. a loss of $0.12 million (nil per share) in the second quarter of 2011.

Key Operating Information

The 6.3% increase in revenue, for the six month period, was primarily caused by the implementation of price increases on January 1, 2012. The increase in revenue for the three months was primarily due to price increases implemented on January 1, 2012. Herbal supplement sales for the period ended June 30, 2012 were approximately $14,000 compared to nil for the period ended June 30, 2011. This increase in the gross profit margin, for the six month period, was mainly due to improved purchasing and procurement practices, as well as price increases on the finished products that were implemented on January 1, 2012.

For the six months ended June 30, 2012, net cash used in operating activities was approximately $0.6 million, as compared to net cash used in operating activities of approximately $0.12 million for the comparable period in 2011. The increase in net cash used in operating activities is primarily attributable to an increase in the raw materials inventory in anticipation of sales to large drug store chains and paydowns of the accounts payable and accrued expense balances.

Recent Developments

Empowered Products launched a sample-request program to its branding site, www.PinkForUs.com, on April 19, 2012. The objective of this program is to connect directly with female consumers to inform and provide samples within the company's full range of women's personal and interactive lubricants. To date, the PINK branding site has received 113,120 consumer sign-ups to request samples.

Wal-Mart advances Empowered Products' ascension into the
major US national chains with its initial sales order

On 31 December 2012, EMPO issued the following Progress Report to its shareholders:

With the 2012 calendar year now complete, Empowered Products' CEO, Scott Fraser, has set the company's expansion agenda to focus on the ongoing increase of sales and shelf space in US National Chains. As consumer trends for PINK® and Gun-Oil® sexual wellness lubricants have shifted toward mainstream retail, Empowered Products has maintained a major investment in forward inventories in order to fulfill this continued influx of sales to more customers from Walgreens, CVS and Target. We expect to add more household name retailers to our US National Chain list in early 2013.

Scott Fraser addressed his fellow EMPO shareholders, "Over the last 18 months, our company has produced escalating growth in several key facets of our business model including Asian and European wholesale and direct-consumer sales. Moreover, our fastest area of growth with the most potential to quickly multiply the size of Empowered Products is the sales pace of our PINK® and Gun-Oil® lines with mainstream retailers across the United States."

Today, Empowered Products (EMPO) is elated to report that its expansion strategy within the US retail chain sector has achieved another national sales channel with its new, initial order from Wal-Mart Stores, Inc. (WMT: NYSE). Empowered has now received its first order from Wal-Mart via an initial shipment comprised of both lines of the company's water-based lubricants โ€“ GunOil® H2O and PINK® Water โ€“ across 39 of Wal-Mart's U.S. distributions centers.

Scott Fraser, president and CEO of Empowered Products, commented, "This is another major milestone in our company's ascension into the national-chain sales venues.
