ITEM 5.07 Submission of Matters to a Vote of Security Holders

On July 09, 2015, the Company held its 2015 Annual Meeting of Shareholders (the "2014 Meeting"). A total of 10,380,077 shares of the Company's common stock were entitled to vote as of June 4, 2015, the record date for the 2015 Meeting. There were 7,306,671 shares represented in person or by proxy at the 2015 Meeting, at which the shareholders were asked to vote on four proposals. Set forth below are the matters acted upon by the shareholders at the 2015 Meeting, and the final voting results of each such proposal.

Proposal No. 1 - Election of Directors

The shareholders elected four directors to serve as directors.

A Meeting of the Board of Directors was called immediately after the 2015 Meeting and the following appointments were made:

Chris Hymel was appointed President/Treasurer and CEO. Malcolm Skolnick was appointed Secretary. Ron Stubbers was appointed Vice-President.
