Item 5.02.                      Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
 
On July 7, 2010, Tom Wa lsh voluntarily resigned from the Board of Directors of Strasbaugh (the “Company”) effective as of July 7, 2010.  To the knowledge of the executive officers of the Company, Mr. Walsh’s resignation from the Board of Directors was not because of any disagreement with the Company.
