GBP345,000,000 4.75 per cent Secured Bonds due 2042 (ISIN
Numbers XS1794197852 and XS0842152281)

The Issuer has been selected by the board of management of
Equity Housing Group Limited (registered under the Co-Operative and
Community Benefit Societies Act 2014 with registered number 16551R
and a charitable registered provider of social housing with
registered number L1229) (EHGL) as its preferred partner to form a
long term legal partnership.
On 1 October 2019, the Boards of the Issuer and Great Places
Housing Association (registered with the Co-Operative and Community
Benefit Societies Act 2014 with registered number 19564R and a
charitable registered provider of social housing with registered
number L1230) (GPHA) approved the terms on which GPHA will accept a
transfer of engagements of EHGL in accordance with the statutory
procedure set out in Section 110 of the Co-operative and Community
Benefit Societies Act 2014 (the Transfer of Engagements).
The proposed date of completion of the Transfer of Engagements
is 1 April 2020. Further updates will be provided in due
course.
